Service Agreement

This Service Agreement ("Agreement") is entered into as of the date of electronic signature ("Effective Date") by and between Acme Corporation ("Company") and the undersigned ("Client").

1. Services. Company shall provide the services described in Exhibit A ("Services") in a professional and workmanlike manner consistent with industry standards.

2. Term. This Agreement shall commence on the Effective Date and continue for a period of twelve (12) months unless terminated earlier in accordance with Section 6.

3. Compensation. Client shall pay Company the fees set forth in Exhibit B within thirty (30) days of receipt of invoice.

4. Confidentiality. Both parties agree to maintain the confidentiality of all proprietary information disclosed during the term of this Agreement.

5. Intellectual Property. All work product created by Company under this Agreement shall be the exclusive property of Client upon full payment.

6. Termination. Either party may terminate this Agreement with thirty (30) days written notice.

By signing this document, you agree to the terms and conditions outlined above. This electronic signature has the same legal effect as a handwritten signature under the ESIGN Act and UETA.
